Vancouver, British Columbia -- Centenera Mining Corporation (the "Company" or "Centenera") - (TSXV: CT) announces a non-brokered private placement (the "Financing") of common shares at $0.25 per common share. The Company currently expects to issue 2,040,000 shares for gross proceeds of $510,000.
In respect of certain subscribers, Centenera may pay finder's fees consisting of a cash payment equal to 7% of the gross proceeds raised, in accordance with the policies of the TSX Venture Exchange (the "TSX-V"). Members of Centenera's management may participate in the Financing, but in no case will more than 25% of the Financing be subscribed for by non-arm's length parties. Centenera intends to use the net proceeds of the Financing to fund general working capital requirements as well as costs associated with assessment of mineral projects and potential acquisitions.
Completion of the Financing is subject to receipt of applicable regulatory approvals, including acceptance by the TSX-V, and is expected to close on or before August 25, 2016. The shares will be issued pursuant to applicable prospectus and registration exemptions, and in Canada will be subject to a four month and one day hold period.
